1. Overview

These Terms of Service ("Terms") dictatate the rules and guidelines applicable to your access and use of the website at Innoventis Infotech ("Site"), and to any software scripts, digital products, enterprise solutions, or consulting services ("Services") provided by Innoventis Infotech.

By accessing our site, engaging our services for custom development, or purchasing our scripts, you agree to be bound by these Terms and any additional terms and conditions and policies referenced herein. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

2. Custom Software Development Services

For clients engaging Innoventis Infotech for custom web development, mobile application development, or AI consulting:

• Scope of Work: Specific deliverables, timelines, and milestones will be outlined in a separate written Master Service Agreement (MSA) or Statement of Work (SOW).
• Payment Terms: Invoices are to be paid based on the scheduled milestones defined in the SOW. Failure to remit payment may result in project suspension.
• Intellectual Property Rights: Upon receiving full and final payment, the intellectual property rights for custom-developed software are typically transferred to the client, unless otherwise specified in your specific agreement. We retain the right to reuse open-source or proprietary generic boilerplate components that do not contain your confidential business logic.

3. Script Purchases & Licensing (Marketplace)

For customers purchasing pre-built source-code scripts (such as "Artist AI") from our digital marketplace:

• Buy Once, Own Forever: Purchasing a script grants you a lifetime, non-exclusive, non-transferable commercial license to modify and deploy the codebase on your own servers to run your own Software-as-a-Service (SaaS) business.
• Resale & Redistribution Restrictions: You are strictly prohibited from reselling, sub-licensing, or redistributing the raw source code of our scripts "as-is" or repackaging the code as a developer asset bundle/template. However, you are fully permitted to sell access to the finished, deployed SaaS application built with our scripts to your end-users. You may also sell your entire operational business (e.g., flipping the live SaaS project).
• Updates & Support: Your purchase includes bug fixes and minor updates as detailed on the product page at the time of purchase. Support is strictly limited to helping you deploy the unmodified script and fixing inherent bugs. We do not provide free support for custom modifications you make to the code.
• Refund Policy: Due to the non-returnable nature of downloaded digital source code, all script sales are final. We do not offer refunds once the source code has been provided or accessed, unless there is a verifiable catastrophic failure in the software that our support team cannot fix within a reasonable timeframe.

4. User Obligations & Permitted Use

You agree not to use our Site or Services for any unlawful purpose or to solicit others to perform or participate in any unlawful acts. You may not use our scripts to facilitate illegal activities, generate prohibited content, or violate international copyright laws. We reserve the right to revoke support and access without refund if you are found violating these terms.

5. Warranty Disclaimer & Limitation of Liability

All digital scripts and services are provided "as is" and "as available" without any warranties, either expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no case shall Innoventis Infotech, its directors, employees, affiliates, agents, or contractors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages arising from your use of any of our services, scripts, or the outcomes generated by AI integrations (such as API costs or generation hallucination errors). Max liability is limited to the amount you paid us for the specific service or script.

6. Third-Party Links & API Integrations

Our scripts and custom solutions may rely on third-party APIs (e.g., Stripe, OpenAI, Fal.ai). We are not responsible for the availability, pricing changes, API deprecations, or content of these external services. Any reliance on third-party tools is at your own risk.

7. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

8. Changes to Terms of Service

We reserve the right to update, change, or replace any part of these Terms of Service by posting updates to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Services following the posting of any changes constitutes acceptance of those changes.
